Terms of Service
Last Updated: October 19, 2026
1. Agreement to Terms
These Terms of Service ("Terms") are an agreement between you and Xavier Device Management LLC ("Xavier", "we", or "us") and cover the VoxyAI apps for Mac, iPhone, iPad, and Android, the VoxyAI extension for Visual Studio Code, and their updates (together, the "Software"). By downloading, installing, or using the Software, you agree to these Terms. If you do not agree, do not download, install, or use the Software.
If you use the Software on behalf of an organization, you confirm that you are allowed to accept these Terms for it. If you get the Software from the App Store or Google Play, that store's terms also apply to your download.
2. License to Use the Software
The Software is free. It requires no purchase, subscription, or account. Subject to these Terms, we grant you a free, non-exclusive, non-transferable, revocable license to:
- Install and use the Software on devices that you own or control
- Use the Software for personal or commercial purposes, including at work
- Deploy the Software to devices your organization manages, including through MDM
- Receive updates as we make them available
We plan to offer a paid Enterprise plan for organizations, which will include online services that we operate. Separate terms will apply to it and to any other paid plans or services we offer. They will not change your right to use the free Software under these Terms.
3. Restrictions
You may not:
- Sell, rent, lease, or sublicense the Software, or distribute modified copies of it
- Reverse engineer, decompile, or disassemble the Software, except to the extent the law allows this despite this restriction
- Remove or change any copyright, trademark, or other proprietary notices in the Software
- Use the Software to break the law, to infringe anyone's rights, or to access accounts, devices, or data you are not authorized to access
- Use the Software in a way that could damage, disable, or impair it
Where any part of the Software is provided under an open-source license, such as the MIT License, that license governs that part and takes precedence over these restrictions.
4. AI Output and Your Responsibility
4.1 AI can be wrong: The Software uses AI models to transcribe, rewrite, answer, summarize, write code, and suggest actions. AI output can be inaccurate, incomplete, outdated, offensive, or inappropriate for your purpose. Check it before you rely on it, especially for medical, legal, financial, or safety matters. AI output is not professional advice.
4.2 Verification is not a guarantee: LLM-as-judge uses a second AI model to review an answer. A "Verified" or similar result means that model found no problem; it does not mean the answer is correct.
4.3 Actions you allow: You are responsible for what the Software does at your direction or with your approval, and for the approval policies you set. This includes emails and messages sent and calendar events changed by Automation, files written, edited, or moved in Projects and folder organizing, terminal commands you run, code you accept from the VS Code extension, and tool calls made to MCP servers you add. Review actions before you approve them and keep backups of important data.
4.4 Your content: You keep all rights to the content you put into the Software and to the output it produces for you, to the extent the law allows. The free Software does not send your content to us, and we claim no rights to it. You are responsible for having the right to use the content you provide, and for how you use the output.
5. Third-Party Models, Software, and Services
5.1 AI models: Models you download through the Software, for example from Hugging Face or the Ollama registry, are made by third parties and are licensed by them, not by us. Some model licenses limit commercial use or certain uses. You are responsible for reviewing and following the license of each model you download and use.
5.2 Platform AI: Apple Intelligence and Gemini Nano are provided by Apple and Google as part of their operating systems, under their own terms.
5.3 Third-party software: The Software includes or downloads third-party and open-source components, such as the Ollama runtime, which are provided under their own licenses.
5.4 Services you choose: If you connect the Software to services we do not control, such as MCP servers, Tailscale, or a download address you enter, your use of them is governed by their terms and privacy policies. We are not responsible for third-party models, software, or services, or for what they do with your data.
6. Privacy
Our Privacy Policy explains what the Software and our website handle and which services they contact.
7. Intellectual Property
The Software, including its design, code, and content, is owned by Xavier Device Management LLC and is protected by copyright, trademark, and other intellectual property laws. These Terms give you a license to use the Software, not ownership of it, and do not grant you any rights to our names, logos, or trademarks.
8. Updates and Availability
We may update, change, or stop offering the Software or any feature at any time. Some updates may be required to keep using the Software. We are not obligated to provide support, maintenance, or updates.
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED FREE OF CHARGE, "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE OR ITS OUTPUT WILL BE ACCURATE, UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT IT WILL NOT CAUSE LOSS OF DATA.
Some jurisdictions do not allow certain warranties to be excluded, so some of these exclusions may not apply to you.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XAVIER DEVICE MANAGEMENT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO:
- Your use of, or inability to use, the Software
- AI output, including errors or omissions in it
- Actions taken by the Software at your direction or with your approval
- Third-party models, software, and services
- Any unauthorized access to or use of your devices or data
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SOFTWARE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
11. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Xavier Device Management LLC from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Software, the content you provide, the actions you direct or approve, or your violation of these Terms or of anyone's rights.
12. Changes to Terms
We may change these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. Your continued use of the Software after a change means you accept the updated Terms.
13. Termination
You may stop using the Software at any time by uninstalling it. Your license ends automatically if you fail to comply with these Terms. When it ends, you must stop using the Software and delete it from your devices. Sections 4, 5, and 7 through 16 continue to apply after termination.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. Nothing in these Terms limits rights you have under the consumer protection laws of the place where you live.
15. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms and the Privacy Policy are the entire agreement between you and us about the Software. If we do not enforce a provision, that is not a waiver of our right to do so later.
16. Contact
